What happens if there's a dispute?
The contract includes a dispute resolution process: first attempt mediation, then binding arbitration if mediation fails. This typically provides a faster and less expensive resolution than going to court.
Can the carrier re-broker the load?
No. The template includes a strict no re-brokering clause, meaning the carrier must haul the freight themselves using their own equipment and drivers, unless written consent is obtained from the shipper.
What if the load is damaged or lost?
The carrier is liable for loss or damage during transit. Claims must be filed within 60 days of delivery. The carrier's liability is limited to the actual value of goods or $100,000, whichever is less, unless higher value is declared and agreed upon.
Is the platform responsible if something goes wrong?
No. The platform is a marketplace that connects shippers and carriers. The contract is between shipper and carrier only. The platform bears no responsibility for payment disputes, cargo claims, delays, or any other issues arising from the agreement.
What payment terms are standard in the industry?
Payment terms vary. Common options include: COD (Cash on Delivery), Net 15 days, Net 30 days, or Quick Pay (1-2 days for a small fee). The specific terms should be negotiated and agreed upon by both parties before signing.
Should I use this for every load?
Using a written agreement for every load is highly recommended, especially when working with new carriers or shippers. It protects both parties and reduces the risk of disputes. Many industry professionals consider it a best practice.
